Position Summary

The Coverys companies include insurance companies eligible to write business in all 50 states and the District of Columbia on an admitted and surplus lines basis, as well as internationally. Coverys also includes insurance agencies, companies working to improve the quality of health care, and entities providing medical education and risk management services. The primary responsibility of the Director, Legal and Head of Regulatory Affairs will be to support the business by providing guidance on all aspects of regulatory considerations for insurance and non-insurance matters. This will include responsibility to implement, revise, update, and ensure the effectiveness of Coverys’ regulatory compliance policies and structures, as well as providing support on all intercompany transactions, legal entity restructuring, and board matters. The Director, Legal and Head of Regulatory Affairs will further support the Legal Department by providing legal services and thorough and practical guidance to internal clients in a professional and collaborative manner.

Position Purpose & Objective / Focus

The purpose of this position is to assist the Legal Department in actively supporting a dynamic, growing healthcare-focused business by providing guidance and advice on a variety of matters ranging from technical and specialist regulatory topics as well as general corporate and commercial issues. A primary focus will be to assist Coverys’ insurance programs achieve business goals while advising regarding regulatory compliance, including but not limited to advising on the management of Coverys’ captive insurance business. Candidate must be efficient and practical with excellent business judgment, and focused on developing innovative solutions to assist the business in achieving their goals.

Essential Duties & Responsibilities

  • Collaborate with members of the Legal Department as well as Coverys’ Compliance Department to develop and further efforts to create a partnership with the business.

  • Provide high-quality and efficient oral and written legal advice to internal clients.

  • Monitor and maintain current knowledge of industry trends and best practices and provide advice regarding implications that may impact the business, including but not limited to insurance law and environmental, social, and governance (ESG) criteria.

  • Draft, review and negotiate legal documents, including insurance and reinsurance contracts, commercial agreements, internal and external policy documents, and intercompany agreements.

  • Perform comprehensive research and analysis of case law and statutory and regulatory information on general corporate and insurance issues.

  • Assist in regulatory matters related to acquisition opportunities and new products and services.

  • Respond to data calls, investigations, requests for information, and other inquiries from government regulators on behalf of Coverys.

  • Manage and coordinate outside counsel when needed and providing assistance with their representation of Coverys, particularly with respect to litigation unrelated to claims function.

  • Participate in, and depending on the circumstances lead, internal investigations related to suspected breaches of company policy, applicable law, and information security (both internal and those affecting entities with contractual or other relationships with Coverys).

  • Recommend business-focused and practical courses of action to achieve client goals in a compliant, legal and ethical manner.


Education, Requirements & Competencies

  • J.D., admitted to at least one state bar, minimum ten (10) years’ experience.

  • Prior experience in the insurance industry required, experience with medical professional liability insurance preferred.

  • Broad knowledge and experience in handling corporate, commercial, and regulatory matters.

  • Excellent skills in managing multiple time-sensitive tasks.

  • Demonstrated ability to learn new subject matter under tight deadlines. 

  • Strong ability to independently develop, implement and complete projects, as well as to work effectively with a team.
