Since RLF’s founding 20+ years ago, we have partnered with philanthropies to protect more than five million acres and generated more than $30 billion in new public funding for land and ocean conservation, equitable outdoor access, and climate resilience. Our work has taught us that conservation does not advance in a bubble. Its success is integrally tied to social equity, community health, economic opportunity, and a strong democracy. To safeguard our achievements to date, and help prepare a favorable environment to face the daunting threat of climate change, we helped launch two partner organizations: Fund for a Better Future (FBF) and Shared Ascent Fund (SAF) to work in the intersecting areas of democracy, environment, health, and equity.

We are a core team of approximately 55 people in 10 states, with the majority based in the Sacramento, California region. We also have staff across the country working on more than 25 fiscally sponsored projects that span the globe.

Position Summary

The Associate General Counsel supports the RLF, FBF, and SAF President, Executive Team, and staff by providing timely, pragmatic, solutions-oriented advice and assistance on legal issues related to RLF’s business affairs, corporate governance, and philanthropic work.

This is a remote position based in California with travel to Sacramento as needed, at minimum quarterly. This position is exempt and reports to the Vice President and General Counsel. Duties include:

  • Provide regular advice and support to the President, Executive Team, and staff on legal matters related to corporate governance, business transactions, intellectual property, real estate, tax, lobbying, and other legal aspects of organizational management, operations, and compliance.
  • Manage registrations and reporting to maintain the organization’s good standing with federal and state corporate and charity regulators across the full range of jurisdictions in which RLF, FBF, and SAF do business; ensure up-to-date intellectual property registrations; and support the CFO in ensuring compliance with applicable tax laws.
  • Support development and implementation of organizational policies, procedures, document templates, and training materials to promote staff education and compliance with pertinent laws, policies, and best practices. Provide training to staff as needed.
  • Support the Director of Grants Management and program and fiscal sponsorships teams in spotting legal issues, conducting due diligence, negotiating with grantees and consultants, and drafting non-standard terms and conditions for philanthropic grants and contracts.
  • Support the operations and finance teams in review, negotiation, and drafting of services contracts, real estate transactions, technology agreements, and other administrative legal matters.
  • Support the Vice President and General Counsel and pertinent staff on monitoring and compliance with lobbying, political activity, and campaign finance laws.
  • Advise the operations and communications teams on legal questions regarding data management and sharing, cybersecurity, and compliance with privacy laws.
  • As requested, and as relevant to other duties, draft research memorandums, board materials, memoranda of understanding, and other legal documents.
  • Stay up-to-date on developments in relevant areas of the law.
  • Work effectively with outside counsel as needed.
  • Undertake special projects as assigned.

  • D. with a minimum of 7 years of professional legal experience as in-house counsel and/or as outside counsel working with tax-exempt organizations.
  • A license to practice law in California; if not admitted in California, eligible to register as in-house counsel with the State Bar of California.
  • Significant working experience with the broad range of laws applicable to 501(c)(3) and 501(c)(4) tax-exempt organizations. Significant experience working with program and administrative staff to draft, review, and negotiate a broad range of grant, consulting, and other legal agreements.
  • Strong business acumen with the ability to identify needs and improve organizational effectiveness.
  • Excellent writing skills, editing, and oral communication skills; professional, clear, and concise writing style.
  • Excellent ability to hear and understand strategic objectives; research and develop creative and practical solutions; and resolve problems using organizational values, programmatic and business goals, and applicable law.
  • Excellent ability to interpret and explain the law and legal concepts various audiences, including to staff who don’t have a legal background; and explain business needs to outside counsel, counterparties, and vendors.
  • Ability to establish and maintain positive working relationships with management, staff, outside counsel, vendors, and philanthropic grantees and consultants.
  • Ability to receive, prioritize, and efficiently execute requests and direction from multiple colleagues.
  • Ability to respond rapidly and appropriately to changing priorities, objectives, and situations; strong sense of initiative and good judgement; ability to maintain patience, grace, and humor under pressure.

Compensation and Benefits

 RLF is committed to providing competitive compensation and a total rewards package that emphasizes both base salary and comprehensive benefits. The starting salary range for this role is $150,000 to $160,000. Offers are based on qualifications and experience and our practice of maintaining salary equity within our organization.

We have an alternate Fridays off work schedule (employees work 40 hours one week, 32 hours the next week) and offer a comprehensive benefit package including medical, dental, and vision insurance, 401k plan with a 5% match, and generous paid time off including approximately 17 paid holidays per year. RLF also offers a technology allowance, student loan repayment assistance, the Calm app, mental health benefits, and fertility and adoption/surrogacy benefits.
